ROLE SUMMARY
Reporting to the Chief Executive Officer (CEO) the Corporation Secretary is responsible for providing the Board with secretarial services on behalf of the Chief Executive Officer and advice the CEO on Legal and Corporation matters.
The successful candidate shall be engaged on a five-year contract, renewable once. KEY RESPONSIBILITIES
i. Providing Board Secretariat Services.
ii. Coordinating Board Evaluation and Governance audits.
iii. Advising the Board on the best corporate governance practices and on legal matters.
iv. Keeping safe custody of Board minutes and legal documents.
v. Interpreting Laws governing the Organization’s operations and giving appropriate and timely legal advice to the Management.
vi. Interpreting relevant regulatory Legal framework for the better implementation of the Organization’s mandate.
vii. Overseeing representation of the Organization in court or other judicial proceedings.
viii. Ensuring proper and accurate drafting, vetting and reviewing of Contracts, Leases, Service Level Agreements, Memorandum of Understanding and other legal documents to ensure compliance to statutory requirements and policies.
ix. Liaising with the external advocates, Attorney General, law enforcement agencies and stakeholders on all legal matters.
x. Ensuring that Legal Audit Compliance is carried out to confirm compliance with relevant statutory requirements.
xi. Keeping safe custody of Organization seal and being accountable for its use.
xii. Overseeing implementation of Mwongozo Code of Conduct.
xiii. Overseeing review of legislation governing the operations of the Organization.
xiv. Develop and monitor risk assessment and management policies and controls
xv. Develop, implement, review, and ensure compliance to all departmental policies, regulations and guidelines.
xvi. Oversee implementation of all departmental projects.
xvii. Develop, monitor and report on the department workplan and performance.
xviii. Develop, monitor and ensure prudent utilization of the departmental budgets.
xix. Develop and monitor implementation of the procurement plan.
xx. Mentoring and coaching staff.
xxi. Prepare and submit timely reports and information for decision making.
xxii. Any other duties as may be assigned from time to time.
REQUIREMENTS FOR APPOINTMENT
i. Master of Laws Degree from a recognized institution.
ii. Bachelor of Laws Degree from a recognized institution.
iii. Post Graduate Diploma in Law from the Board of Legal Education.
iv. Advocate of the High Court of Kenya.
v. Member to the Law Society of Kenya.
vi. Holder of a current practicing certificate.
vii. Member of Certified Public Secretaries of Kenya (ICPSK) in good standing
viii. Leadership course lasting not less than four (4) weeks.
ix. At least Twelve (12) years’ work experience five (5) of which must be in senior management
x. Proficiency in Computer Applications
xi. Fulfill the requirements of Chapter 6 of the Constitution
